Jeffreys Henry was approached by a listed company whose strategy was to acquire businesses in the media sector. They had already identified and short-listed three targets, so Jeffreys Henry prepared an initial report assessing each of these opportunities based on publicly available information. This then formed the basis of an initial approach to the companies, one of whom accepted the terms on offer. At this point the client instructed Jeffreys Henry to carry out a detailed financial due diligence, liaising closely with the client's legal advisers.

The report was delivered within a tight time frame and identified a number of key risk areas, which required reconsideration of the commercial terms in order to protect the client's interests.

Additional taxation and structuring advice was also included, providing the optimum foundation on which to acquire and integrate the business.


Alfred Henry was approached by a business that had developed a unique technology in the food packaging sector. The business had been funded by angel investors during development, but was now seeking £3m to roll out the project overseas.

Alfred Henry introduced the client to an AIM-listed cash shell, and a reverse takeover took place that raised the requisite funds in a placing with institutional investors. Jeffreys Henry carried out all the due diligence and acted as reporting accountants on the AIM placing and admission document.
